General Terms & Conditions
1.1. Legal Agreement, Scope, and Binding
This document constitutes a comprehensive and legally binding contract between the "User" (Institution/School Admin) and School NK, a proprietary software solution developed and owned by School NK. By clicking "I Accept," accessing the portal, or using any service associated with the brand, the school acknowledges that it has read, understood, and voluntarily accepted every clause mentioned herein. This agreement governs your use of the School NK software suite, including all updates, cloud services, and mobile applications. If you represent an institution, you warrant that you have the legal authority to bind that institution to these extensive terms.
1.2. Proprietary Rights and Founder’s Intellectual Property
The entire architecture of School NK, including but not limited to its source code, logic, database structures, unique algorithms, visual user interface (UI), user experience (UX) design, icons, logos, and proprietary features, is the exclusive intellectual property of School NK.
No Ownership Transfer: The school is granted a non-exclusive, non-transferable license to use the software. No ownership of the code is transferred to the user or the institution.
Strict Restrictions: Any attempt by the school admin, staff, or any third party to replicate, modify, decompile, reverse-engineer, or leak the software structure is strictly prohibited and will lead to immediate legal consequences under international copyright and trademark laws.
Unauthorized Distribution: Sharing credentials with competitors or attempting to create a derivative product based on our design will result in immediate legal prosecution and a permanent ban.
1.3. Mandatory Data Backup Responsibility (Critical Clause)
School NK provides a dedicated "Database Backup" feature within the admin dashboard. This feature is designed to empower the school to keep their own copies of their records.
Admin's Sole Duty: It is the absolute and primary responsibility of the school administrator to take regular backups (daily/weekly) of their student data, fee records, and staff files using the provided tool.
Independent Storage: The school is advised to store these backup files on their own local systems, hard drives, or private cloud accounts as a secondary safety measure.
Liability Waiver: School NK shall not be held responsible for any loss of data, corruption of files, or inability to recover records if the school admin fails to perform regular backups manually. The software provides the tool, but the action must be initiated by the user.
System Failure Scenario: In the rare event of a server failure or technical glitch, School NK will only be liable to provide the last available server-side state. We will not be responsible for data that was not backed up by the admin manually.
1.4. Payment Obligations and Service Suspension
To maintain uninterrupted access to the School NK platform, the school must ensure timely payment of subscription fees.
Grace Period: A grace period of 7 days may be provided after the due date, during which the admin will receive notifications.
Service Freeze: If payment is not cleared, the system will be automatically "Frozen." During this state, the admin will not be able to access reports, enter data, or take new backups.
Account Deletion: If non-payment continues for more than 30 days, School NK reserves the right to permanently delete the instance from the server to save storage space. Any data lost during this process due to previous non-backup by the admin will not be our responsibility.
1.5. User Account Integrity and Security Protocols
To access the premium features of School NK, users must maintain a valid and secure account.
Credential Safety: The school admin is the sole custodian of their password. We recommend changing passwords every 30 days. School NK and the team will never ask for your password via phone or email. Any leak due to weak passwords or shared accounts is the school’s internal liability.
Identity Verification: We reserve the right to request identity verification from any administrator at any time to prevent unauthorized takeover of school databases.
Account Misuse: If an account is found to be used for spamming, data mining, phishing, or any purpose other than educational management, School NK reserves the right to terminate the account instantly without a refund.
1.6. System Uptime, Maintenance, and Availability
We aim to provide a 99.9% uptime for School NK to ensure schools operate without interruption.
Maintenance Windows: Periodic maintenance is required for security patches. We attempt to perform these during non-peak hours (12:00 AM to 4:00 AM) and will provide a notification 24 hours in advance via the dashboard.
Third-Party Failures: School NK relies on world-class cloud hosting. We are not responsible for global internet outages, ISP failures, undersea cable damages, or failures of third-party infrastructure beyond the direct control of School NK.
No Compensation: The school agrees it will not claim financial compensation for short-term downtime required for system optimization and security updates.
1.7. Data Integrity and Administrative Responsibility
While School NK provides the platform, the "Data" (Student records, Fee details, Staff files) belongs to the school.
Accuracy: School NK is not responsible for the accuracy of data entered by school staff. If a teacher or admin enters wrong marks or fee amounts, the responsibility lies solely with the school.
Acceptable Use Policy (AUP): You may not upload any content that is defamatory, obscene, or violates the privacy of a minor.
Network Protection: Any attempt to "DDoS" our servers or use automated scripts to "scrape" data from School NK is a criminal offense.
1.8. Limitation of Damages (Protective Shield)
To the maximum extent permitted by law, School NK and its founder School NK shall not be liable for any loss of profits, loss of school revenue, loss of reputation, or loss of historical data that was not manually backed up by the admin.
Financial Cap: In any legal dispute, our maximum liability shall not exceed the amount of the subscription fee paid by the school in the preceding three months.
1.9. Modifications to the Agreement
Technology and laws evolve. School NK reserves the right to update these terms at any time.
Notification: Changes will be reflected by the "Last Modified" date.
Continued Use: Continued use of School NK after changes constitutes acceptance of the new terms. If you disagree, you must stop using the software and settle outstanding dues.
1.10. Force Majeure
School NK is not responsible for failures caused by external factors such as natural disasters, government-imposed internet bans, or global crises affecting cloud data centers.
